SERVICE AGREEMENT — REHOUSING PACKERS PRIVATE LIMITED (RPPL)

PARTIES
This Service Agreement is entered into between REHOUSING PACKERS PRIVATE LIMITED, registered
office at Shop No. 3, 2nd Floor, Railway Road HP Petrol Pump, Gurugram, Haryana 122001 India, ("RPPL" / "E-Commerce Operator"), and the
Business Partner / Service Provider named below.
ROLE OF RPPL
RPPL operates a search-portal / platform that connects customers
with packers, movers and goods-transport service providers, and acts as a
Goods Transport Agency (GTA) for relocation of customers' Goods.
ROLE OF BUSINESS PARTNER
The Business Partner provides one or more of: packing, hire of motor
vehicles, hire of human resources for loading/unloading, and packaging
of Goods, on the terms set out in this Agreement.
KEY TERMS — CLAUSE SUMMARY
1. PROVISION OF SERVICES
• Initial term: 3 (three) years from the Effective Date,
auto-renewable unless terminated.
• Termination on 15 (fifteen) days' written notice by
either Party.
• RPPL may terminate immediately if the Service Provider
fails to provide Services as agreed, or if any discrepancy is
found in background verification.
2. GENERAL UNDERTAKINGS — Business Partner shall:
• Deliver Services on the date and time confirmed by RPPL,
in a professional workman-like manner and per industry standards.
• Comply with the Motor Vehicles Act, 1988 — Business Partner is the
"owner" of motor vehicles; RPPL is NOT an "owner" or
"aggregator" under the Act and disclaims related liabilities.
• Obtain and maintain all necessary licences and consents.
• Ensure personnel are above 18 years of age and enrolled with all
applicable welfare schemes.
3. KYC / DOCUMENT SHARING
Business Partner shall share with RPPL: vehicle registration
certificate (RC), vehicle insurance, driving licence, identity proof,
residence proof, ownership proof, bank KYC, and welfare-scheme
enrolment proofs, as required for compliance.
4. CONFIDENTIALITY
Customer contact details and any Confidential Information disclosed
by RPPL shall be held in strict confidence, used solely for
the Services, and returned/destroyed on termination. The duty of
confidentiality survives termination in perpetuity.
5. NON-CIRCUMVENTION
Business Partner shall NOT directly or indirectly contact, solicit,
poach or by-pass RPPL's customers. Any direct customer
contact must be intimated to RPPL immediately.
6. FEES & PAYMENT — TWO INVOICES
Business Partner will raise TWO SEPARATE invoices for each engagement:
(i) Invoice for motor-vehicle hire.
(ii) Invoice for hiring of human resources for loading/unloading
and packaging.
Prices are mutually agreed in Annexure-A. Customer payments flow
through RPPL via banking channels only. The Business Partner
shall NOT collect payment directly from customers.
RPPL may deduct commission, service charges and TDS before
payout. Business Partner is responsible for its own taxes.
7. INDEMNITY
Business Partner indemnifies and holds harmless RPPL, its
directors, officers, employees and agents against all liabilities,
claims, damages and legal costs arising out of (a) provision of the
Services, or (b) any breach of this Agreement.
8. INSPECTION & RECORD RETENTION
RPPL may inspect Business Partner's records and Services at
any time without notice. Business Partner shall keep complete records
for FIVE (5) YEARS and produce them within 2 Business Days of request.
9. SUB-CONTRACTING
No sub-contracting without prior written consent of RPPL.
Business Partner remains primarily liable in any event.
10. NO PARTNERSHIP / AGENCY
Principal-to-principal basis only. No partnership or agency relation
is created between the Parties.
11. FORCE MAJEURE
Excused performance during force-majeure events. If the event
persists for more than 30 days the Parties may terminate.
12. GOVERNING LAW & JURISDICTION
Governed by the laws of India. Courts in Haryana have
jurisdiction over disputes (without restricting RPPL's right
to sue elsewhere).

DIGITAL ACCEPTANCE
By ticking "I agree" and typing my full legal name below, I, on behalf
of the Business Partner, acknowledge that I have read, understood and
accept the full Service Agreement (provided as a downloadable PDF).
My IP address, browser fingerprint and acceptance timestamp are
recorded as evidence of execution.
